Saab declares bankruptcy as GM blocks Chinese deal

STOCKHOLM (AP) — After six decades of building cars renowned for their teardrop designs and quirky features, cash-strapped Saab Automobile gave up its desperate struggle for a lifeline Monday and filed for bankruptcy.
Saab CEO Victor Muller said "the last nail in the coffin" was previous owner General Motors Co.'s rejection of a Chinese company's attempts to gain control of the ailing Swedish brand. Muller personally handed over the bankruptcy petition to a Swedish court, which approved it late Monday.
Though a theoretical chance remains for a new buyer to step in during the bankruptcy process, analysts said Saab's troubles underline how difficult it is for a small, niched carmaker to survive in today's competitive global market.
"I think it does kind of reflect the situation in the industry that scale is everything," said IHS Automotive analyst Ian Fletcher. "Everyone else have been snapped up ... Saab unfortunately were the last people waiting to dance with someone and they didn't have the right partner."
Volvo Cars, Sweden's other car maker, is presently ramping up production after China's Geely Holding Group bought it from Ford Motor Co. last year.
Muller, a Dutch entrepreneur, used his luxury sports car maker Spyker Cars to buy Saab from GM in 2010 for $74 million in cash plus $326 million worth of preferred shares. He vowed to gradually increase production while restoring Saab's Swedish identity — which critics said was diluted under GM ownership. But the company ran out of money just a year later.
As production stopped and salary payments were delayed, Muller fended off bankruptcy by selling Saab's real estate and lining up financing deals with investors in Russia and China. He bought time by placing the company in a reconstruction process under bankruptcy protection.
But the deals fell through, blocked by regulators or by GM, which was concerned that its technology would end up in the hands of Chinese competitors.
The final Chinese suitor, Zhejiang Youngman Lotus Automobile Co., said it was hoping for a deal "to the last moment" but pulled out after the last proposal for a solution was rejected by GM over the weekend.
GM spokesman Jim Cain told The Associated Press Saturday that each new proposal "results either directly or indirectly in the transfer of control and, or ownership of the company in a manner that would be detrimental to GM and its shareholders."
In another email Monday, Cain said he had nothing to add "except to say it is unfortunate."
The news was grim for Saab's more than 3,000 employees, torn between hope and despair for the past three years.
"This is the most unwelcome Christmas gift I could have imagined," said Fredrik Almqvist, 36, who has worked at Saab's assembly line for nearly 17 years.
While experts say the company is likely to be chopped up and sold in parts, local officials in Saab base Trollhattan — around 75 kilometers (46.6 miles) north of Sweden's second-largest city, Gothenburg — were hoping a new buyer would emerge to salvage the brand.
Saab's small but loyal following of enthusiasts around the world, enamored with the carmaker's pioneering use of turbocharged engines, heated seats and quirky features — such as ignition locks between the front seats — had also not given up hope of the firm's survival.
"Saab drivers don't want to drive run-of-the-mill cars. They want something that is more unique, more individual, but also of a good value," said Mike Philpott, chairman of the Saab Owners Club in Britain. "Very safe, very well-built and also slightly unique and actually a little quirky. And we like those quirky parts of Saab."
Originally an aircraft maker, Saab entered into the auto market after World War II with the first production of the two-stroke-engine Saab 92. It soon became a household name in Sweden, and in the 1970's released its first turbocharged model — the landmark Saab 99.
GM bought a 50 percent stake and management control of Saab in 1989, and gained full ownership in 2000. The aircraft and defense company with the same name remained an independent entity, building fighter jets and weapons systems.
Saab Automobile's sales peaked at 133,000 cars in 2006. After that, sales dwindled to 93,000 in 2008 and just 27,000 in 2009, as GM — itself in bankruptcy protection following the financial crisis — prepared to wind down the Swedish brand.
Muller stepped in after a takeover attempt by a consortium led by Swedish sports car maker Koenigsegg failed. Analysts expressed doubt over Saab's chances of survival under Spyker, which later changed its name to Swedish Automobile.
Spyker manufactured only a few dozen high-priced cars a year and had never made a profit. Without support from other investors, Muller's plans didn't seem credible, critics said.
As the liquidity crisis deepened, he turned to Youngman and Pang Da Automobile Trade Co., another Chinese automaker, for financing. Muller blamed the former administrator of Saab's reconstruction, Guy Lofalk, for the collapse of those deals, saying Lofalk had led the Chinese investors to believe they could become sole owners of the company. Muller said he knew that was impossible given GM's concerns about licenses.
"Until this problem arose the relationship with GM was excellent," Muller said.
Calls to Lofalk's office were not answered Monday.

GM's common shares will begin trading Thursday morning on the New York Stock Exchange under its traditional GM stock symbol. The company will raise far more than the $13 billion it had projected, when it first announced price details for its IPO earlier this month.

尽管上周收到中国青年汽车集团(简称“青年汽车”)的第一笔“救命钱”，但当地时间19日上午，瑞典萨博轿车公司(简称“萨博汽车”)仍然递交了破产申请。多位接受《经济参考报》采访的专家指出，一旦萨博汽车进入破产清算程序，不仅意味着青年汽车和庞大集团前期10亿元“抄底”欧洲老牌豪车的计划宣告失败，还将为两大民营汽车龙头近亿欧元的前期投资蒙上“泡汤”阴影

危局：破产在即收购无望
据瑞通社报道，当地时间19日上午，瑞典汽车公司董事会主席维克托·米勒在瑞典维纳什堡地方法院门前宣布，其旗下的萨博汽车已递交破产申请。该消息获得多位接受记者采访的内部人士证实。当天，已被泛欧证券交易所停牌的萨博汽车发布公告称，申请破产原因是“在技术转让等问题上仍享有发言权的老股东美国通用汽车公司不同意”。

青年汽车首席谈判代表庞青年之女庞彩萍接受记者书面采访时称“其实我们一直坚持到了最后，今天凌晨一点多双方还在通过越洋电话商量方案。由于通用的立场，今天瑞典时间上午9点15分，瑞典萨博主动提出破产申请，这样原定于今天的法院萨博重组听证会就不需要了。”
19日晚间，为本次收购案牵线搭桥的瑞典投资促进署副署长陈永岚向记者表示，通用汽车不应该因自身所谓的“核心利益”，而否决了唯一能拯救萨博汽车的方案“这是不可接受的。”陈永岚说“萨博汽车和通用汽车并不存在正面竞争，经营理念、购买群体、产品定位各有不同，通用汽车没必要担心此次技术转让。”
对于“萨博汽车破产导致青年汽车投资"打水漂"”的疑问，庞彩萍坚称：“我们投入的资金一部分是用于成立(双方合资的)瑞典萨博开发公司，其他的投入资金换回的是技术。青年汽车已成功购买了瑞典萨博全新开发的凤凰平台技术，资料已经拿回中国，这个技术是非常高端的，绝对物超所值。”据庞彩萍介绍，下一步青年汽车会用已经拿到的技术让瑞典萨博开发公司开发和生产91、92、93、94、95、96、97车型。
但与本次收购案多位内部人士有交流的汽车行业专家田永秋表示质疑。“93、95、94x等车型的专利所有权和原有的凤凰技术平台掌握在大股东通用汽车手中，不可能转让给青年汽车；其他车型尚未成型或成熟，即便绕过通用获得技术授权，也要投入巨资研发，青年汽车斥巨资就显得没有太多必要了。”据介绍，萨博汽车的技术骨干、销售人员已经基本解散，萨博大不列颠已经申请破产保护。
对于萨博汽车的未来处置，庞彩萍说：“上述车型开发完成后，在无需再使用通用技术时，萨博开发公司和萨博汽车公司将进行合并，那时青年占70%股份，瑞典汽车(原世爵汽车)占30%股份。”但庞彩萍承认，该方案依然未能得到通用的认可。如若未来萨博汽车进入破产清算程序，上述新设立的开发公司能否独善其身？庞彩萍并未予以答复。

梦想：青年和庞大曾欲10亿全额收购
对于曾发明涡轮增压技术、如今濒临破产一年多的萨博汽车，庞大集团并不是第一个“吃螃蟹的人”。
5月3日，维克托·米勒向《经济参考报》记者表示，河北民营汽车企业华泰汽车拟斥资1.5亿欧元，其中以1.2亿欧元收购荷兰世爵29.9%股权，并发行3000万欧元的6个月期可换股贷款，未来将以每股4.88欧元转换为荷兰世爵的股份。华泰汽车有限公司副总裁张睿君称，收购完成后，华泰将成为世爵第一大股东。然而，短短9天后，华泰汽车发布紧急新闻稿，证实其与荷兰世爵汽车签订的战略合作协议，通过当事人各方协商后决定终止。
9月15日，庞大集团公告称，如上诉法院未批准萨博汽车进入自愿重组程序“鉴于本公司已向萨博汽车支付了4500万欧元的购车预付款，本公司可能需要根据萨博汽车的具体经营、财务状况，就前述购车预付款提取部分坏账准备”。
10月31日，庞大集团公告称，已“与青年汽车、瑞典汽车签署了《谅解备忘录》……共同收购瑞典汽车持有的萨博汽车100%的股份以及SaabG reat BritainLtd.(萨博大不列颠)的所有股份”。其中，庞大集团、青年汽车及/或各自的指定方将共同以1亿欧元(约合10亿元人民币)购买出售股份。收购价款应在本次交易完成时支付5000万欧元，并在本次交易完成后第1至4个周年日每年支付1250万欧元。
10月30日，庞大集团公告称：“各方将于2011年11月15日当日或之前签署股份购买协议。”但由于通用汽车多次在接受外媒采访时否决了多个并购方案，庞大集团先后三次就此发布公告，最终表示，即便延长了一次备忘录的终止日期，但上述“交易及相关股份购买协议仍在谈判中”。
12月5日，庞大集团公告称，瑞典汽车此前发布公告，宣布其目前与青年汽车及一家来自中国的银行商谈投资瑞典汽车的方案，方案内容包括一个短期的解决方案以使萨博汽车能够支付十一月份的工资并继续重组。庞大集团表示：“对于有利于萨博汽车重组、摆脱其目前困境并健康成长的方案，本公司原则上均不会反对……本公司已向萨博汽车支付了4500万欧元的购车预付款。”

12月初，维克托·米勒接受媒体电话采访时表示，萨博需要在几日内筹措6亿欧元(折合约60亿元人民币)。米勒当时表示，与此前萨博汽车和青年汽车达成的协议不同，此次协议并未涉及青年汽车参股萨博汽车，这使得该协议不需要获得通用公司的同意就可进行，“新的提议只涉及贷款，不涉及股权”。米勒还表示，在中国市场占有份额最大的汽车经销商庞大集团“将不再参与这份协议”。这被市场认为庞大集团退出此次收购案。
田永秋证实，青年汽车已经陆续向萨博投入8000多万欧元(约合8亿多人民币)，“还不包括尚未到账的钱及追加投资”。田永秋表示，青年汽车谋求中高端车型的核心技术，庞大集团则谋求萨博汽车在华的独家经销权，因此前者相较于后者更难抽身，也对追加投资有更大动力。
对于众多国内车企热衷于收购萨博汽车，田永秋分析道，最近一年，汽车产业低景气度持续，自主品牌急切需要通过海外资本扩张，向产品高端化、技术自主研发进军，以获得合资品牌、外资品牌一般逆市扩张的销售业绩。

反思：车企海外并购须破技术封锁
田永秋预期，即便瑞典法院拒绝了萨博汽车的破产申请，萨博汽车继续进行的破产重组之路仍遥遥无期。“首先，无论是直接控股还是间接控股，通用都不会允许现有的股权比例被打破；相反，通用汽车认为萨博汽车即便破产，也只是把几张图纸收回去罢了。其次，萨博汽车从重组到复产，仍需青年汽车等各方近10亿美元的追加投资，这还只是走向盈利的漫漫长路的第一步。”
一位接近国家发改委审批层的人士向记者表示，车企跨国并购一定要把风险意识放在首位。但他仍然强调，作为中国车企的代表，上海汽车已经通过合资公司上汽-通用掌握了萨博汽车的核心技术，并应用于别克君威等车型“通用汽车只是不愿意将技术转让给第三方”。
中国乘用车联席会副秘书长崔东树称，当前欧债危机余波未平、萨博汽车濒临破产，而瑞典政府出于稳定就业率而急盼投资者，本次收购案应该说兼具了“天时”“地利”等要素，但独缺通用汽车的“人和”要素。
崔东树表示“通用汽车对技术的封锁程度远远超过我们的想象，中方提出的调整股比、发起方等多个方案都无法获得通用汽车的通过，瑞典政府、中国车企在收购初期有些估计不足。”崔东树强调，随着中国汽车产业的崛起和海外扩张，汽车跨国集团对华技术封锁是长期性的、不可避免的，技术壁垒也是高技术产业“家常便饭”，中国车企海外并购需要做好“打持久战”的准备。
回顾上述收购案，陈永岚建议，中国车企发起的海外收购案，需要制定周详的计划，找到合适的律师事务所、咨询机构等国际化专业团队，绝不应有“抄底”心态，“东西再便宜，和企业战略不符合，也不要盲目收购”。陈永岚也提到，中国车企需要在收购案中注重谈判技巧，处理好大股东、大债主等利益各方关系“对于耗时甚巨的大型并购案，中国车企要对新苗头、新风险要始终保持敏感，并迅速作出反应。”陈永岚最后说。

老大，你真的认为纯电车会很快淘汰现在的车？5年？50年？还是500年之后？

上次石油危机时出现过EV电动车，结果呢？全被砸成废铁回收了。专门有个纪录片说这个事。光是技术上行的东西不一定能够在实际中胜出。你看Science, Nature, Physical reviews及其它所谓顶级杂志上每个月发表了多少文章，有几个有用？大都是垃圾。

扯远了，炒股就是炒股，管它是high tech还是low tech，能挣到钱就行。

接你的回帖，中国飞船上天跟这里汽车的讨论有什么关系？重复一下别人几十年前的东西，就不要太张扬了，会被人笑话的。十年前米国的传统航天项目就快结束了，看着别人在屁股后追呢。

我们楼下面的电车专用车位，以一个月一辆的速度被占用。你看，油钱省了吧，连电费都省了。

朋友，纯电车不是梦，是现实。

中国汽车业，以前缺乏的大型巨型加工能力，早已经完成。没啥技术门槛了。
